1 Legal Entity & Acceptance of Terms

This electronic document is an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

The platform TimetoHive ONE is owned, operated, and powered by TimetoHive (OPC) Private Limited ("Company", "TimetoHive", "we", "our", or "us"), a company incorporated under the Companies Act, 2013, India.

By accessing, browsing, subscribing, or using the Service, you signify your irrevocable agreement to be bound by these Terms of Service ("Terms") and our Privacy Policy.

2 Account Registration & Security

To access the features of TimetoHive ONE, you must register for an authorized user account:

• Accuracy: You agree to provide true, accurate, current, and complete registration credentials.
• Confidentiality: You are solely responsible for maintaining the confidentiality of your login credentials and integration API keys.
• Enterprise Workspaces: Organization administrators are responsible for managing user provisioning, permission scopes, and all actions taken under team accounts.
• Breach Notification: In the event of any suspected security vulnerability or unauthorized access, notify us immediately at support@timetohiveone.com.

3 Acceptable Use Policy

You agree to utilize the platform strictly for lawful organizational productivity purposes in compliance with Indian IT rules. You agree NOT to:

• Host, display, upload, modify, publish, transmit, or share any information prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
• Reverse engineer, decompile, or attempt to extract source code, algorithms, or proprietary neural workflow engines of TimetoHive ONE.
• Deploy unauthorized bots, scrapers, or DDoS scripts that disrupt service availability or exceed rate-limit thresholds.
• Circumvent or compromise any security controls, encryption keys, or tenant isolation mechanisms.
• Use the Service to transmit spam, phishing emails, malware, or ransomware.

4 Subscriptions, GST Invoicing & Billing

TimetoHive ONE is offered under tiered SaaS subscription plans (Starter, Pro, Enterprise):

• Billing Currency: Subscriptions are billed in Indian Rupees (INR) for domestic users and USD or other local currencies for international accounts.
• GST & Tax Invoices: For users in India, Goods and Services Tax (GST) is levied in accordance with the Central Goods and Services Tax Act, 2017 (CGST) and State/Integrated GST Acts. GST-compliant tax invoices showing your GSTIN will be provided for Input Tax Credit (ITC).
• Strict No-Refund Policy: All subscription payments (Monthly, Annual, and Add-ons) are non-refundable once billed. We do not provide prorated refunds or credits for mid-cycle cancellations.
• Automatic Renewal: Subscriptions renew automatically at the end of each monthly or annual cycle unless canceled prior to the renewal date via account settings.
• Plan Adjustments: Upgrades take effect immediately with prorated billing adjustments. Downgrades take effect at the conclusion of the prepaid billing cycle.

5 Intellectual Property Rights

All software, user interface designs, logos, typography, visual styles, documentation, algorithms, and brand trademarks associated with TimetoHive ONE are the exclusive intellectual property of TimetoHive (OPC) Private Limited and protected under the Indian Copyright Act, 1957, and Trade Marks Act, 1999.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your active subscription period.

6 Customer Content Ownership & License

You retain 100% ownership of all data, files, documents, automated routines, trigger logic, and communications uploaded to or created within your TimetoHive ONE workspace ("Customer Content").

You grant TimetoHive (OPC) Private Limited a limited license solely to host, transmit, copy, and process Customer Content as strictly required to deliver, secure, and maintain the Platform services.

7 Service Availability & 99.9% SLA

TimetoHive commits to a 99.9% Monthly Uptime SLA for all paid subscription tiers, excluding scheduled maintenance announced at least 48 hours in advance.

8 Cancellation & Termination

You may cancel your subscription at any time via your Workspace Settings. Cancelling prevents future recurring charges. Your service will remain fully active with all features accessible until the end of your current prepaid billing cycle.

Because all subscription fees are non-refundable, no partial or prorated refunds will be issued for any unused portion of the current billing period upon cancellation.

Upon account termination, you have a 30-day grace window to export your workspace content. After 30 days, data is permanently erased in accordance with our Privacy Policy.

9 Limitation of Liability

To the fullest extent permitted by Indian law, in no event shall TimetoHive (OPC) Private Limited, its directors, officers, or employees be liable for any indirect, special, incidental, consequential, or punitive damages (including loss of business profits, data corruption, or operational interruption).

The Company’s aggregate liability for any claim arising out of these Terms shall not exceed the total subscription fees paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to liability.

10 Governing Law, Jurisdiction & Dispute Resolution

These Terms shall be governed by, interpreted, and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved amicably through mutual good-faith discussions.

If unresolved within thirty (30) days, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (or any statutory modification thereof). The arbitration shall be conducted in the English language, and the seat and venue of arbitration shall be in India. Subject to arbitration, the courts in India shall have exclusive jurisdiction.
